Terms and Conditions

These Terms and Conditions ("Agreement") constitute a contract between Thanat Herb Commercial Co., Ltd. ("Company", "we", "us") and website users, customers purchasing products, or clients engaging OEM/ODM manufacturing services ("you", "customer"). By accessing this website or placing an order for products/services, you acknowledge that you have read, understood, and agree to be bound by all the terms below.
1. Retail Product Purchase Terms
- Information Accuracy: The Company reserves the right to cancel an order if product prices, information, or promotions on the website contain system errors. In such cases, we will issue a full refund to you.
- Claim Policy: Customers must provide an unedited, continuous video recording (VDO) while opening the parcel as evidence for any claim. Without such evidence, the Company reserves the right to refuse claims, replacements, or refunds.
- Shipping: Delivery times are estimates only. The Company shall not be liable for delays caused by the carrier or circumstances beyond our control (force majeure).
2. OEM / ODM Manufacturing Terms
Clients utilizing product research, development, and manufacturing services (OEM/ODM) are subject to the following terms:
- Formula and Sample Approval: Once the client has signed to approve the product formula, packaging design, or label artwork, and the Company has commenced production, no changes, modifications, or cancellations can be made. If the client requests changes, the client shall bear all costs already incurred.
- Deposit and Payment: The production deposit is non-refundable if the client unilaterally cancels the production order or fails to take delivery of the products within the agreed period.
- Yield Tolerance: In industrial manufacturing processes, actual output quantities may vary due to production line losses. The Company reserves the right to deliver and invoice based on actual output, which typically falls within a ±5-10% variance from the purchase order.
- Production Lead Time: The lead time specified in the quotation is an estimate only and may be subject to change based on raw material import availability or the review process of government agencies (e.g., Thai FDA).
3. Intellectual Property
- Standard Formulas: Copyrights and patents for standard formulas are the exclusive property of the Company. The client is granted the right to distribute the products under their own brand name only.
- Custom Formulas: If a new formula is developed and the client has fully paid the research and development fees, the client shall own the rights to such formula only after all payments for goods and services have been received in full.
- No individual or entity may copy, modify, or use any photographs, graphics, articles, or content on this website without prior written permission.
4. Limitation of Liability
In the event of any proven dispute, error, or damage attributable to the Company's negligence, the Company's maximum liability shall be limited to the total value of the goods or services under the specific purchase order or contract number. The Company shall not be liable for any indirect damages, loss of profit, or loss of business opportunity under any circumstances.
5. Force Majeure
The Company shall not be held liable for any delay or failure to perform under this Agreement if such delay or failure arises from force majeure events, including but not limited to natural disasters, epidemics, war, strikes, international transportation issues, or changes in government regulations that directly impact production or raw material imports.
6. Amendments
The Company reserves the right to modify, revise, or change these Terms and Conditions at any time without prior notice. Your continued use of our services after any changes constitutes your acceptance of the new terms.
